The terms governing your use of Torsido Technologies services and platforms.
Acceptance of Terms
By accessing or using any website, platform, or professional service operated by Torsido Technologies SAS ("Torsido", "we", "us", or "our"), you ("Client", "you", or "your") agree to be legally bound by these Terms of Service ("Terms"), together with any applicable Statement of Work, project brief, or service agreement entered into between the parties.
If you are entering into these Terms on behalf of a legal entity — including a corporation, limited liability company, or other organisation — you represent and warrant that you have full legal authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with any provision herein, you must not use our services.
Scope of Services
Torsido Technologies is a performance-focused web development studio delivering the following professional services:
- Custom website design, development, and engineering for marketing, e-commerce, and enterprise use cases
- Web application and portal development, including internal dashboards, client portals, and SaaS platforms
- E-commerce platform build and integration (Shopify, Headless Commerce, custom solutions)
- API development, third-party system integrations, and workflow automation
- Performance audits, technical reviews, and remediation engagements
- Post-launch support, maintenance retainers, and ongoing engineering partnerships
The specific deliverables, timelines, acceptance criteria, and commercial terms applicable to each engagement shall be set out in a written Statement of Work ("SOW") or project proposal signed by both parties. In the event of any conflict between these Terms and a signed SOW, the SOW shall prevail.
Torsido does not guarantee specific business outcomes, including but not limited to search engine rankings, conversion rates, or revenue targets, unless such guarantees are explicitly stated in a signed SOW.
Client Responsibilities
To enable Torsido to deliver services effectively and within agreed timelines, the Client agrees to:
- Provide timely, accurate, and complete materials, content, credentials, and approvals as reasonably requested by the Torsido project team
- Designate a single, empowered point of contact responsible for decision-making on all project matters
- Review and provide written feedback on deliverables within the review windows specified in the SOW
- Ensure that all content, assets, and materials supplied to Torsido are either owned by the Client or used with appropriate licences, and do not infringe upon any third-party intellectual property rights
- Maintain the confidentiality of any login credentials, API keys, or access tokens shared by Torsido during the engagement
- Promptly notify Torsido of any changes in scope, business requirements, or technical constraints that may affect project delivery
Intellectual Property Rights
Upon receipt of all outstanding payments in full, Torsido Technologies assigns to the Client all intellectual property rights, including copyright, in the custom deliverables produced specifically for that engagement — including bespoke design assets, custom code, and written content created exclusively for the Client's project.

Torsido retains the right to display completed work in its portfolio, case studies, and marketing materials unless the Client submits a written non-disclosure request within 30 days of project completion.
Confidentiality
Both parties agree to maintain the strict confidentiality of all non-public, proprietary, or sensitive information disclosed during the course of the engagement ("Confidential Information"). This obligation shall survive the termination or expiry of the engagement for a period of five (5) years.
Confidential Information includes, but is not limited to: business strategies, financial data, technical architectures, source code, customer data, pricing models, and any information clearly designated as confidential at the time of disclosure.
The confidentiality obligation does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed without reference to the Confidential Information; or (d) is required to be disclosed by applicable law or court order, provided the disclosing party is given prompt written notice.
Payment & Billing Terms
All fees, payment schedules, and milestone structures applicable to a given engagement are set out in the relevant SOW or project proposal. Unless otherwise agreed in writing, the following standard terms apply:
- Project Initiation: 40% of the total project fee is due upon signing of the SOW and before any work commences
- Mid-Project Milestone: 40% is due upon delivery and written approval of the agreed mid-project milestone or design approval
- Final Delivery: The remaining 20% is due prior to launch or final handover of all project deliverables
- Monthly retainer fees are invoiced on the first business day of each calendar month, payable within 14 days of the invoice date
- All prices are stated exclusive of applicable VAT or local taxes, which shall be added to invoices where required by law
Warranties & Disclaimers
Torsido Technologies warrants that all services will be performed with reasonable skill, care, and diligence in accordance with prevailing professional standards in the web development industry. Torsido further warrants that it has the necessary expertise, rights, and authority to deliver the services described in the applicable SOW.
Bug Warranty Period: Torsido provides a 90-day post-launch warranty covering defects in code or functionality that prevent the deliverable from operating as specified in the SOW. This warranty does not cover issues arising from Client modifications, third-party software updates, or content changes made after handover.
Except as expressly stated herein, all services are provided on an "as-is" and "as-available" basis. Torsido does not warrant that any website or application will be free from all errors, that server uptime will be uninterrupted, or that all user browsers and devices will be supported beyond the agreed scope.
Limitation of Liability
In no event shall either party be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, reputational harm, or business interruption, even if advised of the possibility of such damages.
Nothing in these Terms shall limit or exclude liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by negligence; or (c) any other liability that cannot be lawfully excluded under applicable law.
Termination
Either party may terminate an engagement by providing 30 days' written notice to the other party. In the event of termination:
- The Client shall pay Torsido for all work completed and expenses incurred up to the effective termination date, calculated on a pro-rata basis against the agreed project fee
- Torsido shall deliver all completed work product to the Client within 14 business days of the termination date
- Any unpaid invoices as of the termination date become immediately due and payable
- Intellectual property transfer for any partially completed work shall be addressed in a written termination settlement agreement
Torsido may terminate immediately, without notice or liability, if the Client: (a) materially breaches these Terms and fails to remedy such breach within 14 days of written notice; (b) becomes insolvent or enters into any insolvency process; or (c) uses our services for any unlawful, fraudulent, or abusive purpose.
Governing Law & Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of France, without regard to its conflict of laws provisions. For Clients established within the European Union, applicable EU consumer and commercial regulations shall also apply.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall first be subject to good-faith negotiation between the parties. If the dispute is not resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of Paris, France.
